TERMS AND CONDITIONS / TERMS OF USE

These Terms and Conditions / Terms of Use ("Terms") are a legal agreement between you and YWL Data LLC ("YWL Data," "we," "us," or "our") governing your access to and use of YWL for Contractors, including our mobile applications, websites, hosted web platform, and related services, features, content, communications, support offerings, and subscription services (collectively, the "Services").

By downloading, installing, accessing, browsing, registering for, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Eligibility and Authority

You must be at least 18 years old and legally able to enter into these Terms.

If you use the Services on behalf of a business, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you and that entity.

2. Description of the Services

YWL for Contractors is a contractor business management platform designed to support operational, administrative, customer, payment, and workflow-related functions for businesses.

Depending on your subscription plan and product availability, the Services may include features such as customer management, job tracking, invoicing, estimates, scheduling, notes, internal communications, reporting, payments, and related functionality.

We may modify, improve, suspend, or discontinue any part of the Services at any time, subject to applicable law.

3. Accounts

Some features require you to create an account.

You agree to:

  • provide accurate, current, and complete registration information;
  • keep your account information updated;
  • protect your login credentials;
  • not share credentials with unauthorized persons; and
  • notify us promptly of any unauthorized access to your account or other security issue.

You are responsible for all activities that occur under your account and any authorized user accounts or sub-accounts associated with your subscription.

4. Subscription Plans, Billing, and Access

Certain features or Services may require a paid subscription.

By purchasing or maintaining a subscription, you agree to pay all applicable fees, taxes, and charges associated with your selected plan. Your plan may determine the number of users, access rights, storage limits, available features, or other service entitlements.

If your payment method fails, your subscription expires, your charge is reversed, or payment becomes delinquent, we may suspend, restrict, or terminate access to some or all of the Services.

Any trial, promotional, introductory, or discounted access may be changed or discontinued at our discretion.

If you purchase or subscribe through a third-party platform, app marketplace, or payment provider, your transaction may also be subject to that third party's terms and conditions.

5. Business Data and User Content

The Services may allow you to create, upload, store, manage, submit, transmit, or process records, notes, messages, images, documents, customer information, invoices, estimates, schedules, payment information, and other content or materials ("User Content").

You retain any rights you may have in your User Content, subject to the rights you grant to us as necessary to provide the Services.

You grant YWL Data a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, display, and use your User Content solely as necessary to provide, secure, maintain, improve, and support the Services, enforce these Terms, comply with law, and protect our rights, users, and Services.

You are solely responsible for your User Content and represent and warrant that:

  • you own it or have all rights necessary to submit and use it;
  • your User Content and use of the Services do not violate any applicable law, regulation, privacy right, contractual obligation, or third-party right; and
  • you have obtained any required permissions, notices, or consents relating to any personal data or other information you submit through the Services.

6. Acceptable Use and Restrictions

You may not, and may not permit others to:

  • use the Services for unlawful, fraudulent, deceptive, abusive, or harmful purposes;
  • interfere with or disrupt the Services, servers, systems, or networks;
  • attempt to gain unauthorized access to any account, system, or data;
  • reverse engineer, decompile, disassemble, or attempt to derive source code or underlying structure of the Services, except to the extent prohibited by applicable law;
  • scrape, crawl, harvest, or use automated methods to access the Services except as expressly authorized by us;
  • upload or transmit malware, malicious code, spam, infringing content, or harmful materials;
  • exceed subscription limits or share access outside your organization without authorization;
  • copy, reproduce, distribute, lease, sublicense, or resell the Services unless expressly permitted by us in writing; or
  • remove, alter, or obscure proprietary notices, legal notices, trademarks, or branding.

7. Third-Party Services

The Services may rely on or integrate with third-party providers, processors, APIs, platforms, or tools, including payment processors and other external services.

Your use of third-party services may be subject to separate terms and privacy policies of those third parties. YWL Data does not control and is not responsible for third-party services, except as required by applicable law.

We may add, modify, suspend, or remove third-party integrations at any time.

8. Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, disclose, retain, and protect information. By using the Services, you acknowledge that you have read our Privacy Policy.

9. Intellectual Property

The Services, including all software, code, designs, text, graphics, interfaces, workflows, logos, trademarks, service marks, and other content provided by YWL Data, are owned by YWL Data or its licensors and are protected by intellectual property and other applicable laws.

Except for the limited rights expressly granted to you, YWL Data and its licensors reserve all rights, title, and interest in and to the Services.

10. Feedback

If you provide feedback, suggestions, feature ideas, recommendations, or enhancement requests relating to the Services ("Feedback"), you grant YWL Data a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, disclose, reproduce, modify, distribute, and exploit that Feedback for any lawful purpose without restriction or compensation.

11. Service Availability and Changes

We may update, modify, patch, enhance, suspend, or discontinue the Services or any feature at any time.

We do not guarantee that the Services will always be available, uninterrupted, secure, timely, or error-free, or that defects will be corrected.

12. Termination and Suspension

We may suspend or terminate your access to the Services, with or without notice, if:

  • you violate these Terms;
  • you fail to pay applicable fees;
  • your use creates legal, operational, reputational, or security risk;
  • we are required to do so by law; or
  • we discontinue the applicable Services.

You may stop using the Services at any time.

Upon termination or suspension:

  • your right to use the Services will end immediately or as otherwise stated by us;
  • we may disable your access; and
  • we may retain or delete associated information in accordance with our Privacy Policy, retention practices, and legal obligations.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

YWL DATA DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YWL DATA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF YWL DATA FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO YWL DATA FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS (US $100.00).

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.

15. Legal Compliance

You represent and warrant that:

  • you are not located in a country or region subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country; and
  • you are not listed on any U.S. government list of prohibited or restricted parties.

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Services.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict of laws principles, except to the extent superseded by applicable federal law.

Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the personal jurisdiction and venue of those courts.

If applicable law in your jurisdiction gives you non-waivable rights to bring claims elsewhere, this section will apply only to the extent permitted by law.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms, updating the "Last Updated" date above, sending an email, or using other reasonable means.

Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms, to the extent permitted by law.

18. Entire Agreement

These Terms, together with our Privacy Policy, EULA, and any additional terms expressly incorporated by reference, constitute the entire agreement between you and YWL Data regarding the Services and supersede prior or contemporaneous understandings relating to the subject matter covered here.

19. Severability and Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

No failure or delay by YWL Data in exercising any right or remedy under these Terms will operate as a waiver of that right or remedy.
